1. ACCEPTANCE OF TERMS
These Terms and Conditions ("Terms") govern your access to and use of SEO Autopilot, including our websites, applications, APIs, dashboards, and related services (collectively, the "Service").

3. THE SERVICE
SEO Autopilot provides software and workflows for SEO and content operations, which may include:
- website analysis
- keyword research and opportunity scoring
- article plans, briefs, outlines, and draft generation
- AI-assisted content generation and content editing
- publishing workflows for supported third-party platforms
- indexing, sitemap, analytics, monitoring, and reporting features
- news and freshness opportunity workflows
- integrations with external services such as Google Search Console, Google Analytics, WordPress, Framer, Contentful, and similar services
Features may change at any time.
4. ACCOUNT REGISTRATION AND SECURITY
To use certain features, you may need to create an account. You agree to:
- provide accurate, current, and complete information
- keep your account information up to date
- keep login credentials confidential
- be responsible for all activity under your account
- notify us promptly of unauthorized use or any security issue
We may suspend or terminate accounts that are false, misleading, compromised, abusive, or in violation of these Terms.
5. SUBSCRIPTIONS, FEES, AND BILLING
Some parts of the Service require a paid subscription.
5.1 Billing
You agree to pay all fees associated with your selected plan. Billing may be handled by third-party processors such as Stripe.
5.2 Renewals
Unless otherwise stated, subscriptions renew automatically at the end of each billing period until canceled.
5.3 Taxes
Fees do not include taxes unless explicitly stated. You are responsible for applicable taxes, duties, levies, or similar charges.
5.4 Payment Failures
If payment cannot be completed, we may:
- retry billing
- suspend access to paid features
- downgrade your account
- terminate your subscription
5.5 Changes to Pricing
We may change pricing or plan structure in the future. If we do, we will provide notice as required by applicable law.
6. FREE TRIALS, BETAS, AND EXPERIMENTAL FEATURES
We may offer free trials, beta features, previews, or experimental features. Those features may be modified, suspended, or discontinued at any time without liability and may be subject to additional limitations.
7. CUSTOMER CONTENT
You may provide content, data, URLs, briefs, competitor information, prompts, drafts, configurations, connected account data, and other materials through the Service ("Customer Content").
You retain ownership of your Customer Content, subject to the rights you grant us below.
You grant SEO Autopilot a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, store, display, modify, and use Customer Content only as necessary to:
- provide and maintain the Service
- generate outputs requested by you
- operate integrations you enable
- improve performance, reliability, and security
- comply with law
- enforce these Terms
You represent and warrant that:
- you own or have all necessary rights to Customer Content
- your Customer Content does not violate any law or third-party rights
- you have authority to connect and use any third-party accounts or data you submit
8. AI FEATURES AND OUTPUTS
The Service may use artificial intelligence and automated systems to generate or suggest outputs, including content drafts, titles, summaries, briefs, strategies, keyword opportunities, and recommendations.
You acknowledge and agree that:
- outputs may be inaccurate, incomplete, offensive, outdated, or non-compliant
- outputs may require substantial human review and editing
- you are solely responsible for reviewing, approving, verifying, and deciding whether to use any output
- you will not rely on outputs as legal, financial, tax, medical, or other regulated professional advice
We do not guarantee:
- search rankings
- indexation timing
- traffic growth
- conversion improvement
- uniqueness or non-infringement of generated outputs
- publication or acceptance by third-party platforms
9. SEO, INDEXING, AND PERFORMANCE DISCLAIMER
SEO results depend on factors outside our control, including search engine algorithms, competition, market conditions, third-party platform behavior, and your website quality.
Accordingly:
- we do not guarantee rankings, traffic, leads, indexing, crawl frequency, revenue, or business outcomes
- publishing, sitemap submission, indexing, and monitoring tools are provided on a best-efforts basis
- third-party APIs, crawlers, search engines, and publishing platforms may delay, reject, rate-limit, or change behavior at any time
10. ACCEPTABLE USE
You may not use the Service to:
- violate any law or regulation
- infringe, misappropriate, or violate third-party intellectual property, privacy, publicity, or contractual rights
- generate, publish, or distribute unlawful, fraudulent, defamatory, hateful, harassing, deceptive, or abusive material
- upload malware, harmful code, or destructive content
- probe, scan, or test system vulnerabilities without authorization
- interfere with or disrupt the Service
- scrape, copy, reverse engineer, or exploit the Service except as allowed by law
- use the Service to spam, manipulate rankings unlawfully, or engage in deceptive SEO practices
- use automated methods to access the Service in a way that burdens infrastructure or bypasses controls
- use the Service to store or process highly sensitive information unless explicitly approved by us in writing
11. THIRD-PARTY SERVICES AND INTEGRATIONS
The Service may integrate with third-party services such as:
- Google Search Console
- Google Analytics
- WordPress
- Framer
- Contentful
- Stripe
- OpenAI
Your use of third-party services is governed by their own terms and policies. We are not responsible for:
- third-party outages
- API changes
- account suspensions
- authentication failures
- data accuracy from third-party sources
- data loss, content rejection, or publication issues caused by third parties
You are responsible for maintaining valid accounts, permissions, tokens, and settings for connected services.
12. INTELLECTUAL PROPERTY
The Service, including its software, interface, design, branding, workflows, documentation, code, text, graphics, and other materials provided by us, is owned by SEO Autopilot or its licensors and is protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription term in accordance with these Terms.
You may not:
- copy, modify, distribute, sell, lease, sublicense, or publicly display the Service except as expressly permitted
- reverse engineer or attempt to extract source code except to the extent such restriction is prohibited by law
- remove proprietary notices
13. FEEDBACK
If you provide suggestions, ideas, comments, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, incorporate, and exploit that feedback without restriction or compensation.
14. CONFIDENTIALITY
If we receive non-public information from you that is identified as confidential or should reasonably be understood as confidential, we will use reasonable measures to protect it and will use it only as necessary to provide the Service, comply with law, and enforce our rights.
This section does not apply to information that:
- is or becomes public through no fault of ours
- was already known to us without confidentiality obligation
- is rightfully received from a third party
- is independently developed without use of your confidential information
15. SUSPENSION AND TERMINATION
We may suspend or terminate access to the Service immediately, with or without notice, if:
- you violate these Terms
- you fail to pay fees when due
- your use creates legal, operational, or security risk
- required by law or a third-party provider
- we reasonably suspect fraud, abuse, or unauthorized activity
You may stop using the Service at any time. Subscription cancellation rules may depend on your billing plan and payment processor terms.
Upon termination:
- your right to access the Service ends
- we may disable integrations and access tokens
- some data may remain in backups or archives for legal, security, and operational reasons
16. DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEO AUTOPILOT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- OUTPUTS WILL BE ACCURATE OR SUITABLE
- SEARCH ENGINES OR THIRD-PARTY PLATFORMS WILL ACCEPT OR INDEX YOUR CONTENT
- DEFECTS WILL BE CORRECTED
- THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY COMMERCIAL RESULT
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- SEO AUTOPILOT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
- SEO AUTOPILOT WILL NOT BE LIABLE FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR CONTENT
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
A. THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
B. ONE HUNDRED U.S. DOLLARS (US $100)
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose.
18. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless SEO Autopilot, its affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use of the Service
- your Customer Content
- your violation of these Terms
- your violation of law
- your infringement or violation of any third-party right
19. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of Romania, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Romania, unless applicable law requires otherwise.
If you want arbitration instead of court litigation, replace this section with a lawyer-approved arbitration clause before publication.
20. CHANGES TO THE SERVICE
We may add, remove, modify, suspend, or discontinue any feature or part of the Service at any time. We are not liable for changes to features, integrations, or functionality.
21. CHANGES TO THESE TERMS
We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms, changing the effective date, or notifying you through the Service or by email.
Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.
22. EXPORT, SANCTIONS, AND COMPLIANCE
You may not use the Service in violation of export control or sanctions laws. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a prohibited jurisdiction and are not subject to applicable sanctions restrictions.
23. RELATIONSHIP OF THE PARTIES
These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and SEO Autopilot.
24. ASSIGNMENT
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, asset sale, or by operation of law.
25. SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
26. WAIVER
Failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
27. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any applicable order form or plan-specific terms, constitute the entire agreement between you and SEO Autopilot regarding the Service and supersede prior or contemporaneous agreements on that subject.
